1. About RowDesk
RowDesk is a browser-based data preparation workspace designed to help users clean, deduplicate, compare, review, and prepare CSV and XLSX data before importing it into CRM platforms and other business systems.
Features may include:
- CSV and XLSX file processing;
- data-quality scanning;
- cleaning and normalization;
- column management;
- duplicate identification and removal;
- dataset comparison;
- change review;
- undo and redo;
- clean CSV exports;
- removed-row and changed-row exports; and
- audit/change reports.
Certain features may only be available under a paid subscription.
2. Eligibility
You must be legally capable of entering into a binding agreement to use RowDesk.
If you use RowDesk on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.
RowDesk is intended primarily for professional and business use.
3. Accounts
Some RowDesk functionality may be available without an account, while other features may require registration.
When creating an account, you agree to:
- provide accurate information;
- maintain the security of your login credentials;
- keep your account information reasonably current;
- not share credentials in a manner that compromises account security; and
- promptly notify us if you suspect unauthorized access.
You are responsible for activity occurring through your account unless caused directly by a failure of RowDesk's security systems.
We may suspend access when reasonably necessary to protect your account, RowDesk, or other users.
4. Your files and data
You retain ownership of the files and data you process using RowDesk.
RowDesk does not acquire ownership of your datasets simply because you use them with the Service.
You are responsible for ensuring that you have the legal right and necessary permissions to process any information you provide to RowDesk.
This includes responsibility for complying with applicable privacy, confidentiality, data-protection, contractual, and industry requirements relating to your data.
5. Local browser processing
A core feature of RowDesk is that raw CSV/XLSX workspace data is designed to be processed locally in your browser.
Operations such as cleaning, deduplication, comparison, change review, and generation of supported exports are generally performed on your device.
Raw datasets and cell values used in these workflows are not intended to be stored on RowDesk servers.
However, account, authentication, subscription, entitlement, support, security, and privacy-safe analytics information may be processed through RowDesk's backend infrastructure.

6. Browser sessions and data persistence
Unless RowDesk expressly provides a cloud workspace or persistence feature, your active dataset and processing session may exist only in your browser.
Refreshing the page, closing the browser, clearing browser data, running out of browser memory, or experiencing a device failure may cause active work to be lost.
You are responsible for downloading and keeping copies of important output files.
RowDesk should not be used as the sole storage or backup location for business-critical data.
7. Free features
RowDesk may provide certain functionality without payment.
Free functionality may include selected data-preparation tools, limited workspace functionality, and clean CSV export.
We may modify the features included in the Free plan from time to time.
We will not represent a feature as permanently included in the Free plan unless expressly stated.
8. Paid subscriptions
RowDesk may offer paid plans that provide additional functionality.
Paid features may include functionality such as:
- advanced deduplication;
- multi-column matching;
- advanced duplicate review;
- dataset comparison;
- removed-row exports;
- changed-row exports; and
- audit/change reports.
The features, billing interval, and price applicable to your purchase will be shown before checkout.
9. Billing and Paddle
Paid RowDesk subscriptions are processed using Paddle.
By purchasing a subscription, you authorize the applicable recurring charges shown at checkout.
Your transaction may also be subject to Paddle's applicable checkout, payment, tax, and billing terms.
We do not require you to provide full payment-card information directly to RowDesk when payment is handled by Paddle.
Paddle may process payment, tax, invoicing, fraud-prevention, and related transaction information according to its own policies.
10. Automatic renewal
Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of each billing period until canceled.
For example, a monthly subscription renews monthly and an annual subscription renews annually.
The applicable subscription price and billing period will be displayed before purchase.
You are responsible for canceling your subscription if you do not want it to renew.
11. Cancellation
You may cancel a paid subscription through the billing or subscription-management options made available to you.
Cancellation normally prevents the next renewal charge.
Where the product indicates that paid access continues until the end of the current paid billing period, you may continue using eligible Pro features until that period expires.
Canceling a subscription does not automatically entitle you to a refund for charges already paid.
Refund eligibility is governed by our separate Refund Policy and any applicable legal rights.
12. Price changes
We may change subscription pricing in the future.
Where required, we will provide appropriate notice before a new price applies to an existing recurring subscription.
Price changes do not retroactively change transactions already completed.
13. Taxes
Taxes may be calculated, collected, or remitted as required based on your location and the transaction.
Applicable taxes may be handled by our payment provider.
The total amount due will be displayed during checkout where required.
14. Acceptable use
You may use RowDesk only for lawful purposes.
You must not use the Service to:
- violate applicable laws or regulations;
- process data that you have no right to use;
- unlawfully collect, process, disclose, or distribute personal information;
- upload or process malicious software;
- attempt unauthorized access to RowDesk systems or other users' accounts;
- bypass authentication, subscription, or feature-access controls;
- interfere with the security or operation of the Service;
- deliberately overload or disrupt RowDesk infrastructure;
- reverse engineer protected portions of the Service except where expressly permitted by law;
- use automated methods to abuse the Service or evade reasonable usage protections;
- impersonate another person or organization; or
- use RowDesk to facilitate fraud, unlawful activity, or infringement of third-party rights.
We may suspend or terminate access where reasonably necessary to prevent abuse, fraud, security threats, or illegal activity.
15. Sensitive and regulated data
RowDesk is a general-purpose data-preparation product.
Unless expressly agreed otherwise, RowDesk is not specifically designed or certified for processing data subject to specialized regulatory requirements such as medical records, highly sensitive financial information, government classified information, or other specially regulated categories.
You are responsible for evaluating whether RowDesk is appropriate for the type of information you process.
16. Data-processing results
RowDesk provides tools that assist you in modifying and preparing data.
You remain responsible for reviewing results before using them in another system.
You should verify important outputs, including:
- duplicate decisions;
- removed records;
- changed values;
- dataset comparisons;
- column mappings; and
- exported files.
RowDesk does not guarantee that every data-quality issue, duplicate, inconsistency, or incorrect value will be detected.
Likewise, a record identified as a potential duplicate or match should be reviewed when appropriate for your use case.
17. No automatic changes without user action
Where RowDesk provides preview-and-apply workflows, previews are intended to help you understand proposed changes before applying them.
However, you remain responsible for reviewing the selected settings and confirming that the operation is appropriate.
18. Backups and source files
You should retain your original source files.
Although RowDesk is designed to preserve original source data during an active browser session and provide reversible workflows, you should not rely on RowDesk as your sole backup mechanism.
Always maintain independent copies of important business data.
19. Service availability
We aim to provide a reliable Service, but RowDesk may occasionally be unavailable because of:
- maintenance;
- software updates;
- infrastructure failures;
- third-party service outages;
- security incidents;
- internet connectivity problems; or
- circumstances outside our reasonable control.
We do not guarantee uninterrupted or error-free availability.
20. Changes to the Service
We may improve, modify, add, remove, or replace Service features over time.
This may include modifications to Free or paid functionality.
Where a material change affects an active paid subscription, we will take reasonable steps to communicate it when appropriate.
21. Intellectual property
Except for your data and third-party materials, RowDesk and its associated software, interface, branding, design, documentation, content, logos, and technology are owned by or licensed to RowDesk and are protected by applicable intellectual-property laws.
These Terms do not transfer ownership of RowDesk intellectual property to you.
Subject to these Terms, RowDesk grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.
22. Feedback
If you provide suggestions, ideas, feature requests, or other feedback about RowDesk, you allow us to use that feedback to improve or develop the Service without obligation to compensate you.
This does not transfer ownership of your underlying business data to RowDesk.
23. Third-party services
RowDesk relies on third-party services that may include providers for:
- cloud infrastructure;
- payments;
- email delivery;
- analytics;
- monitoring; and
- other operational functions.
Examples may include Paddle, Amazon Web Services, DigitalOcean, and Google services.
Your use of certain third-party services may also be subject to their own terms and privacy policies.
We are not responsible for third-party services outside our reasonable control.
24. Links to third-party services
The Service may contain links to third-party websites, CRM platforms, documentation, or other services.
We do not control those services and are not responsible for their content, availability, or practices.
25. Beta and evolving features
Certain RowDesk functionality may be identified as beta, preview, experimental, or early-access functionality.
Such features may change more frequently and may contain additional limitations.
You should exercise additional care before relying on beta functionality for critical business processes.
26. Suspension and termination
You may stop using RowDesk at any time.
We may suspend or terminate access where reasonably necessary because of:
- violation of these Terms;
- fraud or abuse;
- non-payment;
- attempts to bypass subscription restrictions;
- security risks;
- unlawful activity; or
- circumstances requiring suspension to protect RowDesk or its users.
Where practical and legally appropriate, we will attempt to provide notice before terminating an account for reasons other than urgent security or legal concerns.
27. Effect of termination
After your account or subscription ends:
- your right to use restricted paid features may end;
- browser-local workspace data may no longer be available after the active session ends;
- certain account, billing, transaction, security, and legal records may be retained as described in our Privacy Policy;
- and provisions of these Terms that by their nature should survive termination will continue to apply.
28. Disclaimer of warranties
To the maximum extent permitted by applicable law, RowDesk is provided on an “as is” and “as available” basis.
We do not warrant that:
- the Service will always be available;
- the Service will be completely error-free;
- every duplicate or data-quality issue will be detected;
- every suggested transformation will be appropriate for your data;
- exports will be suitable for every third-party system; or
- use of RowDesk will satisfy every regulatory or contractual requirement applicable to you.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
29. Limitation of liability
To the maximum extent permitted by applicable law, RowDesk will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or related to the Service.
Because RowDesk is a data-preparation tool, you are responsible for maintaining source files and reviewing outputs before importing them into business systems.
To the maximum extent permitted by law, RowDesk's total liability arising from or relating to the Service will not exceed the amount you paid to RowDesk for the Service during the 12 months immediately preceding the event giving rise to the claim.
If you have not paid RowDesk for the Service, our total liability will be limited to the minimum amount permitted under applicable law.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
30. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold RowDesk harmless from claims, damages, liabilities, and reasonable costs arising from:
- your unlawful use of the Service;
- your violation of these Terms;
- data you process without appropriate rights or permissions; or
- your violation of third-party rights.
This provision does not apply where prohibited by applicable law.
31. Privacy
Your use of RowDesk is also governed by our Privacy Policy:

32. Refunds
Refund and cancellation eligibility is governed by our separate Refund Policy:

Where mandatory consumer-protection laws provide additional refund or cancellation rights, those rights continue to apply.
33. Changes to these Terms
We may update these Terms to reflect changes to RowDesk, our business, legal requirements, or operational practices.
When material changes are made, we may provide notice through the Service, by email, or through another reasonable method.
The “Last updated” date at the top of these Terms indicates the latest revision.
Continued use of the Service after updated Terms become effective constitutes acceptance where permitted by applicable law.
34. Governing law and disputes
These Terms are governed by the laws applicable to the operator of RowDesk, except to the extent that mandatory laws in your jurisdiction require otherwise.
Nothing in these Terms limits any mandatory consumer rights that cannot legally be waived.
Before starting formal legal proceedings, we encourage you to contact us at contact@getrowdesk.com so that we can attempt to resolve the issue informally.
35. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
36. No waiver
If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
37. Entire agreement
These Terms, together with our Privacy Policy, Refund Policy, and any additional terms presented during a specific purchase or feature, constitute the agreement between you and RowDesk relating to your use of the Service.
